Verizon acquiring Telogis to enhance connected vehicle business

Verizon Communications Inc. signed an agreement to purchase Telogis, Inc. to add best-in-class Software-as-a-Service (SaaS) technology and services—specifically in the connected vehicle and mobile enterprise management sectors—as well as expanded distribution relationships to its Verizon Telematics subsidiary.

Telogis is a global, cloud-based Mobile Enterprise Management (MEM) software company focusing on vehicle telematics. Telogis also builds its technologies into vehicles and equipment from leading manufacturers including Ford, GM, Hino, Isuzu, Mack, Volvo and Manitowoc Cranes, eliminating the need for hardware installations.

Telogis also has strategic partnerships with Apple, Element and AT&T.

Telogis platform solutions include:

  • Telogis Fleet. Real-time location and status for all assets on one dashboard, with full metrics and reports to match.

  • Telogis Response. Job creation, dispatch, routing, mobile asset management and monitoring, and real-time communication.

  • Telogis Mobile. Two-way messaging, forms, work orders, and commercial navigation.

  • Telogis Route. Optimized planned routes and instant reroutes.

  • Telogis Integration. Full API capabilities with seamless integration and accelerated ROI with Telogis’ professional services, training and ongoing support.

  • Telogis GeoBase. Mobile and web-based location-based services.

Terms of the transaction have not been disclosed. The acquisition is subject to customary regulatory approvals and is expected to close in the second half of 2016.

In connection with the transaction, PJT Partners and Wells Fargo Securities, LLC acted as financial advisors and Debevoise & Plimpton acted as legal advisor to Verizon. Barclays and J.P. Morgan acted as financial advisors and Paul Hastings LLP acted as legal advisor to Telogis.
